Preamble:


These General Terms and Conditions of Sale (GTCS) apply to all sales made by Panama Sails, whether in-store or via its website. They are subject to the laws in force in Panama. By placing an order, the customer fully accepts these conditions without reservation.


Part 1: Purpose
The purpose of these General Terms and Conditions of Sale is to define the rights and obligations of the parties in the context of the sale of nautical rigging products offered by Panama Sails, both in-store and online at www.panamasails.com. These terms apply to all transactions between Panama Sails and its customers, whether individuals or professionals.


Part 2: Orders


2.1. Order process
Orders can be placed either directly in-store or via the Panama Sails website (www.panamasails.com). The customer agrees to provide accurate and complete information when placing an order. Panama Sails cannot be held liable for any errors or omissions in the information provided by the customer.


2.2. Order confirmation
Any order placed in-store or online constitutes acceptance of these GTCS. Panama Sails reserves the right to refuse or cancel any order from a customer with whom there is an existing dispute regarding payment of a previous order.


2.3. Product availability
Product offers are valid while stocks last. In the event of unavailability of a product after the order has been placed, Panama Sails will inform the customer as soon as possible and may offer a substitute product or a refund.


2.4. Order modification
Any modification of the order by the customer after confirmation is subject to approval by Panama Sails. In case of modification, additional delays may apply.


Part 3: Prices and Payment Terms


3.1. Prices
Product prices are indicated in local currency, including all applicable taxes. Delivery charges are not included in the listed prices and will be added at the time of order confirmation. Panama Sails reserves the right to modify its prices at any time, but products will be invoiced based on the prices in effect at the time of the customer's order confirmation.


3.2. Payment Methods
Payment can be made by bank transfer, or any other payment method accepted by Pananama Sails. The customer guarantees that they have the necessary authorization to use the chosen payment method.


3.3. Payment in Installments
Pananama Sails may offer installment payment options, subject to approval by the partner financial institution. Specific terms will be communicated to the customer at the time of order.


3.4. Late or Failed Payment
In case of late or failed payment, Pananama Sails reserves the right to suspend or cancel the delivery of ongoing orders, without prejudice to any other remedies. Late fees may be applied, calculated at an interest rate of [applicable interest rate] per day of delay.


3.5. Invoicing
An invoice will be issued for each order and sent to the customer by email or handed over in person during in-store purchases. The customer must keep the invoice, as it may be required for any claim.

Section 4: Delivery


4.1. Delivery Methods
Pananama Sails offers various delivery options, including home delivery, pick-up points, or in-store collection. Delivery terms, timelines, and associated costs will be specified to the customer at the time of order. Delivery will be made to the address provided by the customer.


4.2. Delivery Times
Delivery times vary depending on the delivery method chosen and product availability. Pananama Sails undertakes to deliver within the indicated timeframe; however, these are given for informational purposes only. Delays in delivery shall not entitle the customer to cancel the order, claim a discount, or compensation, unless otherwise provided by law.


4.3. Product Inspection Upon Delivery
The customer is responsible for checking the condition of the products upon receipt. In the event of missing or damaged items, the customer must note all necessary reservations on the delivery slip and confirm them in writing to Pananama Sails within 14 days of receipt. No claims will be accepted after this period unless otherwise provided by law.


4.4. Delivery Issues
In the case of delivery errors or lost parcels, Pananama Sails will seek a satisfactory solution for the customer. If the product cannot be found or is deemed irreparably damaged, Pananama Sails will, at the customer's choice, either resend the product or refund the order amount.


4.5. Transfer of Risk
The risk of loss or damage to the products transfers to the customer when the customer or a third party designated by them (other than the carrier offered by Pananama Sails) physically takes possession of the products.

 


Section 5: Warranties and Liability


5.1. Legal Warranty
Pananama Sails undertakes to comply with the applicable legal warranty laws in Panama. All products sold benefit from the legal warranty of conformity and the warranty against hidden defects, allowing the customer to return defective or non-compliant products. The duration and conditions of these warranties are those defined by Panamanian law.


5.2. Commercial Warranty
In addition to legal warranties, some products may benefit from an additional commercial warranty. Terms and duration of this warranty are specified in the product documentation. This warranty does not cover damage resulting from misuse, accidents, poor maintenance, or unauthorized modification.


5.3. Limitation of Liability
Pananama Sails shall not be held liable for failure or improper performance of the contract due to the customer's fault, an unforeseeable and insurmountable act by a third party, or force majeure. Pananama Sails shall not be liable for any indirect damages arising from the purchase of products.


5.4. Liability for Product Use
The customer is solely responsible for the use of purchased products. Pananama Sails shall not be liable for any damage resulting from improper or inappropriate use of the products.


5.5. Claims
Any claim regarding purchased products must be addressed to Pananama Sails in writing (letter or email) within 3 days following discovery of the defect or non-compliance. No claims will be accepted after this period unless otherwise provided by law.


5.6. Mediation and Disputes
In case of a dispute not resolved amicably, the customer may seek mediation or conciliation. If no agreement is reached, the dispute shall fall under the exclusive jurisdiction of the Panamanian courts.
